The Texas Secretary of State filing fee for a limited liability company Certificate of Formation is $300.
Texas LLCs do not file a separate annual report with the Secretary of State. The recurring annual compliance item is the franchise tax report and Public Information Report filed with the Texas Comptroller. The report date is May 15, and the Public Information Report is required even when the company is at or below the no-tax-due threshold.
